Please read these Terms of Service carefully before using Chenvix services, materials, or manufacturing capabilities.
1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of Chenvix's website, materials, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Chenvix ("Company," "we," "us," or "our") provides advanced soft-touch materials, injection molding engineering services, and related manufacturing solutions to business customers worldwide.
If you do not agree to these Terms, you may not access or use our Services.
2. Business-to-Business Services
Our Services are intended exclusively for business-to-business (B2B) transactions. By using our Services, you represent and warrant that:
- You are acting on behalf of a business entity or organization
- You have the authority to bind that entity to these Terms
- You are not a consumer purchasing for personal, family, or household purposes
- You meet the minimum age requirement of 18 years or the age of majority in your jurisdiction
3. Account Registration and Security
To access certain features of our Services, you may be required to register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
4. Product Information and Specifications
We strive to provide accurate technical specifications, material properties, and product information. However:
- Material properties may vary within standard tolerances
- Product images and descriptions are for reference purposes only
- Final specifications are subject to confirmation in formal quotations
- Technical data sheets (TDS) supersede general website information
- Custom formulations may have different properties than standard grades
Customers are responsible for conducting their own testing and validation to ensure materials meet their specific application requirements.
5. Quotations, Orders, and Contracts
5.1 Quotations: All quotations are valid for 30 days unless otherwise specified and are subject to change based on material costs, exchange rates, and other factors.
5.2 Orders: Orders are subject to acceptance by Chenvix. We reserve the right to reject or cancel any order at our discretion.
5.3 Purchase Orders: Formal purchase orders must reference our quotation number and include complete specifications, quantities, and delivery requirements.
5.4 Minimum Order Quantities: MOQs apply to most products and services. Custom tooling and development work may require separate agreements.
6. Intellectual Property Rights
6.1 Company IP: All content on our website, including text, graphics, logos, technical documentation, and material formulations, is protected by copyright, trademark, and other intellectual property laws.
6.2 Customer IP: Customers retain ownership of their product designs, CAD files, and proprietary information shared with us. We will protect such information under applicable confidentiality agreements.
6.3 Tooling Ownership: Unless otherwise agreed in writing, tooling ownership terms will be specified in manufacturing agreements.
7. Confidentiality and Non-Disclosure
Both parties may exchange confidential information during the course of business. Such information will be protected under:
- Executed Non-Disclosure Agreements (NDAs) when applicable
- Standard confidentiality obligations implied in business relationships
- Industry-standard data protection practices
We will not disclose customer technical specifications, formulations, or business information to third parties without explicit consent, except as required by law.
8. Quality Assurance and Warranties
8.1 Material Quality: Our materials are manufactured to meet published specifications and industry standards. Material certifications and test reports are available upon request.
8.2 Manufacturing Quality: Molded parts are produced according to approved samples and technical drawings. First Article Inspection (FAI) reports are provided for new tooling.
8.3 Limited Warranty: We warrant that materials and manufactured products will conform to agreed specifications at the time of delivery. This warranty does not cover:
- Improper storage, handling, or processing by the customer
- Applications outside recommended parameters
- Normal wear and tear in end-use applications
- Defects caused by customer-supplied materials or designs
8.4 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, ALL MATERIALS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claim shall not exceed the amount paid by the customer for the specific materials or services giving rise to the claim
- We shall not be liable for indirect, incidental, consequential, special, or punitive damages
- We shall not be liable for loss of profits, revenue, data, or business opportunities
- We shall not be liable for product recalls, market withdrawals, or third-party claims arising from customer's end products
Customers are solely responsible for testing and validating materials for their intended applications and ensuring compliance with applicable regulations.
10. Regulatory Compliance
10.1 Material Compliance: Our materials comply with applicable regulations including RoHS, REACH, and FDA guidelines where specified. Compliance documentation is available upon request.
10.2 Customer Responsibility: Customers are responsible for:
- Determining regulatory requirements for their specific markets and applications
- Conducting necessary testing and certification
- Ensuring proper labeling and documentation
- Complying with import/export regulations
11. Payment Terms
11.1 Standard Terms: Payment terms will be specified in quotations and invoices. Standard terms are typically Net 30 days for established customers.
11.2 New Customers: Initial orders may require prepayment or payment upon delivery.
11.3 Tooling Deposits: Custom tooling typically requires 50% deposit upon order confirmation and 50% upon approval of first articles.
11.4 Late Payment: Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
12. Shipping and Delivery
12.1 Delivery Terms: Delivery terms (EXW, FOB, DDP, etc.) will be specified in quotations and follow Incoterms 2020 standards.
12.2 Lead Times: Lead times are estimates and may vary based on order volume, material availability, and production schedules.
12.3 Risk of Loss: Risk of loss transfers according to agreed Incoterms. Customers should maintain appropriate insurance coverage.
12.4 Inspection: Customers must inspect shipments upon receipt and report any discrepancies within 7 days.
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:
- Natural disasters, epidemics, or pandemics
- War, terrorism, or civil unrest
- Government actions or regulatory changes
- Supply chain disruptions or material shortages
- Power failures or telecommunications outages
14. Termination
We reserve the right to suspend or terminate access to our Services if:
- You breach these Terms
- Payment obligations are not met
- You engage in fraudulent or illegal activities
- We discontinue Services (with reasonable notice)
Termination does not affect obligations for outstanding orders or payments.
15. Governing Law and Dispute Resolution
15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.
15.2 Dispute Resolution: Parties agree to attempt to resolve disputes through good-faith negotiation. If unsuccessful, disputes may be resolved through:

17. Entire Agreement
These Terms, together with any executed purchase orders, quotations, and separate agreements, constitute the entire agreement between you and Chenvix regarding the Services.
In case of conflict, the order of precedence is: (1) Executed written agreements, (2) Purchase orders and quotations, (3) These Terms.
